General Terms and Conditions (GTC) of BOW Production

1. Scope of Application
These General Terms and Conditions apply to all services provided by BOW Production, a brand of BOW GmbH (hereinafter “BOW”), in particular in the areas of tour management, booking, production management, event organization, and artistic consulting. Deviating conditions of the contracting partners are only recognized if BOW expressly agrees to their validity in writing.
2. Formation of Contract
A contract is concluded as soon as a written offer from BOW has been confirmed by the client (e.g., theatre, festival, agency, or artist) or a written order confirmation has been issued by BOW. Verbal agreements require written confirmation to be legally binding.
3. Scope of Services
BOW performs the services agreed in the respective contract to the best of its knowledge and belief. Any changes or extensions to the scope of services require the written consent of both parties. BOW is entitled to engage third parties (e.g., technicians, production managers, or PR agencies) to fulfil the contract.
4. Fees and Payment Terms
Remuneration is based on the agreed fees or commissions. Unless otherwise agreed, the following applies: Tour management and booking services: 20% of the net proceeds per performance or guest appearance; Management or consulting services: according to the individually agreed daily rate or fixed fee. Invoices are payable within 14 days from the invoice date without deductions. In case of late payment, BOW is entitled to charge default interest of 9% p.a. above the base rate.
5. Expenses and Travel Costs
Unless otherwise agreed, necessary travel, accommodation, and transport costs will be invoiced separately. BOW is entitled to pass on proven expenses and third-party costs.
6. Cancellation, Withdrawal and Force Majeure
In the event of cancellation of a confirmed engagement by the client, the following deadlines and compensations apply: up to 30 days before the event: 50% of the agreed fee; from 14 days before the event: 100% of the agreed fee. In cases of force majeure (e.g., natural disasters, illness, official restrictions), both parties are released from their performance obligations. Costs already incurred will be reimbursed proportionally.
7. Liability
BOW shall only be liable for damages caused by gross negligence or intent. Liability for slight negligence, loss of profit, or consequential damages is excluded. In any case, BOW’s liability is limited to the amount of the agreed fee.
8. Copyright and Usage Rights
All concepts, texts, layouts, and other materials created by BOW are protected by copyright and may not be reproduced or shared with third parties without consent. BOW reserves the right to reference projects and clients for self-promotional purposes.
9. Data Protection and Confidentiality
BOW processes personal data exclusively in accordance with the provisions of the GDPR. Sensitive information disclosed in the course of cooperation will be treated confidentially and not shared with third parties unless there is a legal obligation to do so.
10. Final Provisions
Amendments or additions to these Terms and Conditions must be made in writing. Should individual provisions of these Terms be invalid, the validity of the remaining provisions shall remain unaffected. The place of performance and jurisdiction is Vienna, Austria. Austrian law shall apply exclusively.
